These Fair-Use Terms (“Terms”) form part of the LeadEngine.ai Master Subscription Agreement (the “MSA”). By purchasing or using an “Unlimited” plan, You (“Customer”) agree to comply with both the MSA and these Terms. Capitalized words not defined here have the meanings given in the MSA.
1.1 “Unlimited Plan.” A subscription tier that advertises “unlimited” or similar functionality, subject to the quantitative ceilings below.
1.2 “Billing Cycle.” The calendar-month period beginning on the subscription’s effective date and each subsequent monthly anniversary.
1.3 “Fair-Use Limits.” The numerical usage caps in Section 2.
1.4 “Abuse.” Any activity that, in LeadEngine’s sole judgment, degrades platform stability, deliverability, or violates Applicable Law, including unsolicited bulk messaging, address-harvesting, or third-party data scraping.

3.1 Customer will use the Services only for lawful, permission-based business outreach.
3.2 Customer shall not:
a. exceed the Fair-Use Limits more than in any monthly billing cylce;
b. resell, sublicense, or share Unlimited Plan access with unaffiliated third parties;
c. employ the Services for spam, phishing, or deceptive practices;
d. circumvent technical safeguards (rate limits, CAPTCHAs, API throttles, etc.).
4.1 Usage Monitoring. LeadEngine may monitor aggregate and account-level metrics to verify compliance.
4.2 Notice of Overages. If Customer materially exceeds a Fair-Use Limit, LeadEngine will notify Customer and may:
(i) grant a reasonable cure period;
(ii) offer a higher-capacity or custom plan; or
(iii) throttle, suspend, or terminate the affected Services.
4.3 Immediate Suspension. LeadEngine may immediately suspend Services without notice if Customer’s use poses a security risk, threatens platform integrity, or violates Section 3.2.
LeadEngine may modify these Terms or the Fair-Use Limits without notice.
6.1 The Unlimited Plan does not guarantee uninterrupted or error-free service beyond the stated Limits.
6.2 LeadEngine is not liable for deliverability failures, inbox placement, or third-party blocklists arising from Customer’s breach of these Terms.
If these Terms conflict with the MSA, the stricter provision (as determined by LeadEngine) governs with respect to Unlimited Plans.
